Nextfriend.ai Terms of Service

1) What these Terms cover
These Terms of Service (“Terms”) govern your purchase and use of Nextfriend devices (like Bone Daddy™), our websites and dashboards, and any software and cloud features we provide (together, the “Services”). Some features rely on third-party AI and voice technology (e.g., OpenAI and ElevenLabs). Their terms also apply where their services are used; we summarize that throughout this document.
2) Who can use Nextfriend

You must be at least 18 to create an account or buy credit packs. Minors may interact with a device under the supervision of an adult account holder.

You’re responsible for your account security and any activity on it. Keep credentials private and let us know if you suspect unauthorized use. (Note: third-party providers also require account security and state that unused credits can be forfeited if an account is closed.)
3) What Nextfriend is (high level)
Nextfriend is an animated decorative apparatus with a screen and AI-driven interactions (voice, sensors, optional motion, and cloud updates). Some models connect to the internet for content and updates; others can run locally.
4) Credits, pricing & billing

Credits = time: 1 credit equals one (1) second of live conversation. Credits are consumed while the device is actively speaking/listening.

Packs: We sell prepaid credit packs (seconds) that display as minutes in the UI. Credits are non-transferable and promotional credits may expire as stated at purchase.

Depletion behavior: When a balance hits zero, live conversation pauses until you top-up.

Changes: We may change prices or bundles prospectively; you’ll see updated pricing before you buy. (General paid-account and renewal practices follow industry standards and the norms our AI providers also use.)
5) Your “Input” and the “Output” you receive

What you provide (“Input”): Your text, audio, prompts, uploaded materials, and settings.

What you get (“Output”): The responses, speech, and content generated by AI.

Ownership: You keep ownership of your Input and, to the extent applicable law allows, you own the Output you receive; AI output may not be unique, and other users can get similar results.

Accuracy: AI can be wrong or incomplete; don’t rely on Output as a sole source of truth or professional advice. Use human judgment before sharing or acting on Output.
6) Third-party AI & voice services (what you should know)
Some features route your Input to AI/voice providers. Their terms apply in addition to these Terms:

OpenAI (for language models): OpenAI treats your Input/Output as “Content.” They warn Output may be inaccurate; you must comply with their usage rules and laws. (OpenAI also explains how Content may be used to operate/improve the service and offers an opt-out for model training.)

ElevenLabs (for voices/Agents): If you upload voice samples or create voice models, ElevenLabs gets a license to use that Input (including your voice/likeness) to provide and improve their services; they say they won’t commercialize your voice “standalone” without permission. You retain rights in your Input and Output subject to those terms. Their policies also prohibit certain uses (e.g., unlawful/abusive content) and govern credits/usage in their UI.
We don’t control third-party services and they are responsible for their own terms, policies, and availability.
7) Acceptable use
You agree not to use the Services (including any AI Output) in ways that are illegal, harmful, infringing, deceptive, privacy-invasive, or that bypass rate limits or safety filters. Do not mislead others that AI Output is human-generated. You must also follow the third-party usage policies referenced above.
8) Privacy, data & recordings

Device mics: Devices that listen for a wake word or live conversation will process audio to deliver the feature.

Cloud processing: When cloud features are enabled, Input may be sent to our providers to generate Output and improve service quality. (OpenAI explains “Content” handling and offers a training opt-out; ElevenLabs describes voice processing and data rights in its privacy and terms.)

Sensitive data: Don’t input PHI unless you have a proper HIPAA arrangement with the provider (ElevenLabs forbids PHI without a BAA).

9) Safety & usage warnings (devices)
Nextfriend is decorative/entertainment-grade, not a medical, safety, or emergency system. Keep away from water, heat, and young children’s reach; follow mounting and power instructions; don’t modify internal electronics. Multi-device coordination and motion/actuation must be used in safe environments only. (The product’s intended decorative/seasonal use and integrated systems are described in your patent filing.)
10) Software, updates & availability
We may push firmware/content updates, change or discontinue features, or require certain minimum versions. Third-party services may experience downtime outside our control.
11) DMCA / IP complaints
If you believe content accessible through the Services infringes your IP, send a proper notice to the address listed in our DMCA page. (Industry-standard DMCA elements: signature, work description, location, contact info, and good-faith statements.)
12) Warranty disclaimer (please read)
THE SERVICES ARE PROVIDED “AS IS.” WE (AND OUR LICENSORS) DISCLAIM ALL WARRANTIES—INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT OUTPUT WILL BE ACCURATE OR ERROR-FREE. USE OUTPUT AT YOUR OWN RISK.
13) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WON’T BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES, OR FOR MORE THAN THE FEES YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR $100, WHICHEVER IS GREATER. SOME REGIONS DON’T ALLOW SUCH LIMITS; IN THOSE PLACES, WE LIMIT LIABILITY TO THE MAXIMUM ALLOWED.
14) Indemnity
If you’re a business user, you agree to indemnify us against third-party claims arising from your use of the Services or your violation of these Terms.
15) Dispute resolution; arbitration; no class actions
Before filing a claim, we’ll try to resolve disputes informally (60 days). If unresolved, disputes will be settled by binding arbitration on an individual basis (no class actions or jury trials), subject to limited small-claims and injunctive-relief exceptions. Details on forum and procedures will be provided at the time of a dispute and will follow standard U.S. consumer arbitration practices. (This structure mirrors the mainstream approach used by our providers.)
16) Changes to these Terms
We may update these Terms as we evolve the Services. Material changes will be posted and, where required, notified in advance; continued use after the effective date means you accept the changes.
